4. Payment, and Subscription
4.1 Subscription. Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.
At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Doks cancels it. You may cancel your Subscription renewal by contacting Doks customer support team, or manually cancel it from the dashboard settings.
A valid payment method, including a credit card, is required to process the payment for your Subscription. You shall provide Doks with accurate and complete billing information including full name, address, state, zip code, telephone number, and valid payment method information. By submitting such payment information, you automatically authorize Doks to charge all Subscription fees incurred through your account to any such payment instruments.
Should automatic billing fail to occur for any reason, Doks will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.
4.2 Suspension of Access. If Subscription Fees are not received when due, Doks reserves the right to suspend a User account by blocking all login attempts to the Web Application or ceasing to provide Support, until such account is paid in full. Doks right to suspend an account is in addition to any other rights and remedies available to Doks in the event of non-payment, and the termination rights set forth herein. Doks shall not be liable to a User or to any other person as a result of any suspension or termination of access to the Web Application in accordance with these Terms. Suspension of an account does not eliminate a User’s obligation to pay all amounts outstanding to the date of such suspension or thereafter for the remainder of the Term of a User’s account, as the case may be.
4.3 Taxes. Subscription Fees do not include any Taxes. User is responsible for paying all Taxes associated with its use of the Subscription Services. If Doks has the legal obligation to pay or collect Taxes for which User is responsible with respect to the Subscription Services, Doks will invoice User, and User will pay that amount unless User provides Doks with a valid tax exemption certificate authorized by the appropriate taxing authority.
4.4 Future Functionality. User agrees that the Subscription Services are not contingent on the delivery of any future functionality or features, or dependent on any oral or written public comments made by Doks regarding future functionality or features.
4.5 Refunds. Your purchase of the Subscription Services is final, and there are no refunds or credits for partially used periods. Certain refund requests for Subscriptions may be considered by Doks on a case-by-case basis and granted at the sole discretion of Doks. Except when required by law, paid Subscription fees are non-refundable.
4.6 Modification of Services. Doks reserves the right at any time to modify the Subscription Services, including but not limited to changing or adding functionality, and User's continued use of the Subscription Services after such changes are made constitutes User's acceptance of such changes.
4.7 Free Plan or Trial. Doks may, at its sole discretion, offer a Subscription with a free plan or trial for a limited period of time ("Free Trial" or "Free Plan"). You may be required to enter your billing information in order to sign up for the Free Trial. If you do enter your billing information when signing up for the Free Trial, you will not be charged by Doks until the Free Trial has expired. On the last day of the Free Trial period, unless you cancel your Subscription, you will be automatically charged the applicable Subscription fees for the type of Subscription you have selected. At any time and without notice, Doks reserves the right to (i) modify the terms and conditions of the Free Trial or Plan offer, or (ii) cancel such Free Trial or Free Plan offer.
4.8 Fee Changes. Doks in its sole discretion and at any time may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. Doks will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective. Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.
